MAIN RESPONSIBILITIES
1️⃣ Prepare documentation and legal structure for IPO:
- Review and complete all legal documents of the enterprise before the IPO (charter, licenses, major contracts, intellectual property, debts, cross-ownership, etc.).
- Advise on legal entity structure, charter capital, privatization, and issuance plans in accordance with the regulations of the State Securities Commission (SSC) and the Stock Exchange (HOSE/HNX).
- Coordinate with consulting units (Securities companies, Auditors, Lawyers, Financial advisors) to ensure the legality and validity of the IPO documents.
2️⃣ Legal compliance and corporate governance:
- Establish and monitor the internal legal compliance system, especially during the transition to a public company.
- Draft, review, and standardize internal regulations: corporate governance regulations, Board of Directors regulations, Supervisory Board regulations, information disclosure, shareholder management, etc.
- Ensure that information disclosure, periodic reporting, and stock transactions comply with regulations.
3️⃣ In-depth legal consulting:
- Advise on legal risks in investment activities, contracts, capital transfers, strategic partnerships, and M&A before the IPO.
- Assist in building and negotiating agreements with investors, underwriters, and legal consulting organizations.
- Coordinate with state agencies (SSC, Department of Planning and Investment, Tax Department, etc.) to explain or resolve issues arising during the IPO process.
4️⃣ Training & internal support:
- Organize training and guidance for the leadership and departments on legal regulations related to public companies.
- Support the implementation of internal policies to ensure transparency and legal compliance after the IPO.
JOB REQUIREMENTS
- Graduated from Law School, Economic Law, Commercial Law, International Law, or related fields.
- Have at least 5 years of experience in corporate legal affairs, including at least 2 years participating in IPO, M&A, or securities issuance projects.
- Have a thorough understanding of the Enterprise Law, Securities Law, Investment Law, Labor Law, Tax Law, and related regulations.
- Good drafting, analysis, and contract negotiation skills.
- Strong communication, coordination, and collaboration skills with government agencies and consulting organizations.
- Preference will be given to candidates with a lawyer's practicing certificate or who have previously worked at a listed company / securities company / Big4 / large law firm.
- Good English skills in legal terminology (reading, writing, communication).
